These Venue Terms & Conditions (“Venue Terms”) govern your access to and use of the HopSpot venue platform, including any venue dashboard, event listings, promotions, subscriptions, analytics, or related services (collectively, the “Venue Services”).
These Venue Terms apply to business users only, acting in trade or commerce, and do not apply to consumers within the meaning of the Australian Consumer Law (“ACL”).
By clicking “Accept”, creating a venue account, or using the Venue Services, you agree to be bound by these Venue Terms.
1. Definitions
“HopSpot”, “we”, “us”, or “our” means HopSpot Pty Ltd (ACN 674 579 018).
“Venue”, “you”, or “your” means the business entity or authorised representative operating a hospitality venue using the Venue Services.
“Platform” means the HopSpot mobile applications, website, venue dashboard, and related services.
“Content” means any text, images, menus, events, promotions, descriptions, or other materials submitted by a Venue.
2. Eligibility & Authority
You confirm that:
- You are authorised to act on behalf of the venue listed
- All information provided is accurate and kept up to date
- You have all necessary rights, licences, and approvals to publish your Content
HopSpot may request verification of venue ownership or authority at any time.
3. Venue Listings, Events & Promotions
3.1 Venue Information
You are responsible for ensuring all venue information is accurate, current, and not misleading. HopSpot may display venue information sourced from third-party providers (including mapping and location services) alongside venue-submitted data.
3.2 Events & Promotions
- All events and promotions must be genuine, lawful, and accurately described
- You must comply with all applicable laws, including liquor, advertising, and consumer laws
- HopSpot does not guarantee attendance, patron numbers, revenue, or business outcomes
HopSpot may remove or reject any Content immediately and without prior notice at its discretion.
4. Prohibited Content & Conduct
You must not upload or promote Content that:Is false, misleading, deceptive, or fraudulentInfringes intellectual property or third-party rightsIs offensive, discriminatory, or unlawfulViolates alcohol, gambling, or advertising regulations
Encourages unsafe or illegal behaviourBreaches may result in suspension or termination of your venue account.
5. Subscriptions, Fees & Billing
5.1 Plans
HopSpot may offer free and paid subscription plans with different features and limitations. Plan details will be displayed prior to purchase.
5.2 Billing & Renewals
- Subscription fees are billed in advance unless otherwise stated
- Fees are non-refundable except where required by law
- Failure to cancel a subscription prior to renewal does not constitute grounds for a refund
- You are responsible for all applicable taxesHopSpot may modify pricing or plans with reasonable notice.
6. Analytics & Data Disclaimer
- Any analytics, insights, or metrics provided:Are indicative only
- May rely on user-submitted data, third-party data, or estimates
- Should not be relied upon as precise or guaranteed measurements
HopSpot makes no warranties regarding accuracy, completeness, or business performance outcomes.
7. Intellectual Property
7.1 Your Content
You retain ownership of your Content. You grant HopSpot a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and promote your Content in connection with the Platform.
7.2 HopSpot IP
All software, branding, designs, and platform features remain the exclusive property of HopSpot.You must not copy, reverse engineer, or misuse the Platform.
8. Third-Party Services
HopSpot may integrate third-party services (including mapping and location providers).HopSpot is not responsible for: Third-party outages, inaccuracies, or changesLosses arising from reliance on third-party data
9. Suspension & Termination
HopSpot may suspend or terminate your venue account if you:
- Breach these Venue Terms
- Fail to pay subscription fees
- Upload prohibited or misleading Content
- Misuse the Platform
You may stop using the Venue Services at any time. Termination does not entitle you to refunds unless required by law.
10. No Partnership or Agency
Nothing in these Venue Terms creates any partnership, joint venture, employment, or agency relationship between you and HopSpot.
Venues operate independently and remain solely responsible for their operations, promotions, and compliance obligations.
11. Force Majeure
HopSpot is not liable for any failure or delay caused by events beyond its reasonable control, including system outages, third-party service failures, acts of God, or government actions.
12. Limitation of Liability
Nothing in these Venue Terms excludes, restricts, or modifies any right or remedy that cannot be excluded under the Australian Consumer Law.
- To the maximum extent permitted by law: HopSpot is not liable for indirect, incidental, or consequential losses
- HopSpot does not guarantee patron attendance, revenue, or business outcomes
- HopSpot’s total liability is limited to the fees paid by you in the 12 months preceding the claim
13. Indemnity
You agree to indemnify and hold HopSpot harmless from any claims, losses, damages, fines, penalties, legal costs, or third-party actions arising from:
- Your Content
- Your events, promotions, or venue operationsRegulatory breaches (including liquor or advertising laws)Your breach of these Venue Terms
14. Assignment
HopSpot may assign these Venue Terms as part of a corporate restructure, acquisition, investment, or sale of assets.
You may not assign your rights without HopSpot’s prior written consent.
15. Survival
Sections relating to intellectual property, liability, indemnity, and governing law survive termination of these Venue Terms.
16. Changes to These Terms
HopSpot may update these Venue Terms from time to time.
Continued use of the Venue Services after changes take effect constitutes acceptance of the updated terms.
17. Governing Law
These Venue Terms are governed by the laws of Queensland, Australia, and subject to the exclusive jurisdiction of Queensland courts.
